At T-Mobile we’re always on the lookout for new mobile applications "Apps" to feature, and although we spend a lot of time in the Android Market there’s still a chance we might miss something really cool. In that spirit, we now have a way for you, the developer of really cool Apps, to tell us about yours. Simply fill out the fields below, attach the requested creative assets, and review and sign the Application Promotion Licensing Agreement.

We may use your App in one of our Television commercials, on our Studio website, an accessory bundle in one of our stores, or as a featured App in the T-Mobile App Pack! Since we’re always in need for featuring Apps across categories, don’t worry if you don’t hear from us right away. If your App is slated to be featured we will be sure to let you know.

THIS AGREEMENT MAY ONLY BE ENTERED INTO BY YOU IF YOU ARE OVER THE AGE OF MAJORITY UNDER THE LAWS OF YOUR JURISDICTION. OTHERWISE, YOU ARE EXPRESSLY PROHIBITED FROM ENTERING INTO THIS AGREEMENT, AND SHOULD HAVE YOUR PARENT OR GUARDIAN ENTER INTO THIS AGREEMENT ON YOUR BEHALF. BY ELECTRONICALLY ACCEPTING THIS AGREEMENT, YOU REPRESENT AND WARRANT TO T-MOBILE THAT YOU ARE OVER THE AGE OF MAJORITY UNDER THE LAWS OF YOUR JURISDICTION. LICENSE TO PROMOTE MOBILE APPLICATION This License to Promote Mobile Application (“Agreement”) is entered into by and between T-Mobile USA, Inc. (“T-Mobile”) and the person, organization or entity listed in the T-Mobile Partner Network Mobile Application Promotion Request webpage (the “MAPR”) registration (“You”). PLEASE READ THIS ENTIRE AGREEMENT CAREFULLY AS IT FORMS A LEGALLY BINDING AGREEMENT BETWEEN YOU AND T-MOBILE. YOUR ACCEPTANCE OF THIS AGREEMENT CONSTITUTES AND OFFER TO T-MOBILE. BY CLICKING “I ACCEPT” YOU ARE ACCEPTING THIS AGREEMENT AND THE PERSON ELECTRONICALLY ACCEPTING THIS AGREEMENT REPRESENTS AND WARRANTS THAT HE OR SHE HAS THE AUTHROITY TO BIND TO THIS AGREEMENT THE PERSON, ORGANIZATION OR ENTITY LISTED ON THE MAPR. The provision of notice to You that any of Your Mobile Applications have been approved by T-Mobile for the Purpose described in this Agreement will constitute T-Mobile’s acceptance of this Agreement whereupon this Agreement shall form a binding agreement between the parties. For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, You and T-Mobile agree as follows: 1. Purpose. You have created the mobile application(s) specified in the MAPR (the “Mobile Application”). T-Mobile wishes to use the Mobile Application and Your Trademarks (as defined here below) for purposes of advertising, marketing and promoting the Mobile Application to its customers, prospective customers, T-Mobile vendors and internally to T-Mobile personnel, and any other parties to whom T-Mobile wishes to advertise, market and promote the Mobile Application through (the “Purpose”). 2. Grant of Rights (a) Mobile Application License. During the Term, You grant to T-Mobile a non-exclusive, royalty-free worldwide license to use, reproduce, distribute, publicly display, publicly perform, broadcast, transmit, create derivative works from all or any portion of the Mobile Application for the Purpose, including without limitation public display of the Mobile Application running on T-Mobile devices, creation of videos showing the Mobile Application in use and viral distribution of such videos. The foregoing grant does not include any rights to modification of the Mobile Application source code. (b) Trademark License. During the Term, You grant to T-Mobile a non-exclusive, royalty-free worldwide license to use, reproduce, distribute and publicly display, publicly perform, broadcast and transmit Your name, trademarks, service marks, trade names, logos, slogans, designs or other identifiers specified in the MAPR (“Your Trademarks”) for the Purpose in any media now known or hereafter invented. T-Mobile agrees that all uses by T-Mobile of Your Trademarks, including the goodwill and reputation associated therewith, will inure to the benefit of You. (c) Web Site Linking. You agree T-Mobile may link to web sites owned or operated by You. (d) Marketing Materials. “Marketing Materials” means all images, text, graphics, layout, web design, video, screen captures, software code and other materials provided or created for potential use for the Purpose. You agree to provide T-Mobile with such Marketing Materials as T-Mobile may request from time to time for the Purpose. With respect to all Marketing Materials You provide to T-Mobile in connection with this Agreement, You hereby grant T-Mobile a nonexclusive, royalty-free worldwide license to use, reproduce, distribute, publicly display, publicly perform, broadcast, transmit, create derivative works from all or any portion of Marketing Materials (including without limitation all content, images, screenshots and Your Trademarks therein) for the Purpose in any and all formats and media now known or hereafter invented. (e) Sublicense. The foregoing licenses include the right for T-Mobile to sublicense its rights hereunder to third parties for the Purpose. (f) Rights to New Works. All derivative works created by T-Mobile using materials licensed under this Agreement (“New Works”) shall be the exclusive property of T-Mobile. (g) Third Party Materials. In the event that any portion of the Mobile Application, Marketing Materials, Your Trademarks or other materials provided to T-Mobile by You are owned by a third party, You shall secure the rights from such third party for T-Mobile’s use as provided under this Agreement. You shall not provide any Mobile Application, Marketing Materials, Your Trademarks, any other materials or any portion thereof to T-Mobile, prior to securing all such necessary rights. (h) No Obligation; Non-Exclusive. You do not have any obligation to submit any Mobile Applications to T-Mobile. T-Mobile does not have any obligation to promote any Mobile Applications in accordance with the Purpose and may cease promoting any Mobile Applications in accordance with the Purpose at any time. This Agreement is non-exclusive and does not restrict either party’s ability to enter into similar agreements with third parties or develop, license, promote, or distribute any technology, product, or service whether or not similar to Mobile Applications. 3. Term and Termination. (a) The term of this Agreement will commence on the date You click “I Accept” and will continue until terminated in accordance with this Section. T-Mobile will not have any liability to You due to T-Mobile’s exercise of its right to terminate this Agreement in accordance with its terms. (b) T-Mobile may terminate this Agreement without cause upon 30 days prior written notice. (c) You may terminate this Agreement without cause by following the termination request process set forth on the T-Mobile Partner Network website. If You strictly follow the termination request process, this Agreement will terminate 90 days after T-Mobile notifies You in writing that T-Mobile was able to confirm the accuracy of all of the information provided by You during the termination request process. (d) Except as set forth in this paragraph, upon any termination of the Agreement for any reason, all rights and obligations of the parties under this Agreement will be extinguished; provided that Sections 2(c), and 3-5 will survive the termination or expiration of this Agreement. Upon expiration or termination of this Agreement, T-Mobile is not obligated to destroy and may distribute any materials existing in physical or electronic form created prior to termination of this Agreement. (e) You shall notify T-Mobile immediately in the event that You discontinue distribution of or support for the Mobile Application. 4. Representations and Warranties You represent and warrant to T-Mobile that the licenses and rights granted under this Agreement to T-Mobile, and T-Mobile’s use, reproduction and dissemination of Your Trademarks, Mobile Application, Marketing Materials and any other materials provided to T-Mobile by You as provided herein, will not infringe in any manner any intellectual property right or other rights of any third party, including without limitation right of privacy and right of publicity. 5. Indemnification and Limitation on Liability (a) You will, upon T-Mobile’s written request, defend, indemnify and hold T-Mobile and T-Mobile’s parent, subsidiaries and affiliates harmless from and against any and all third party claims, costs, losses, damages, judgments and expenses (including without limitation reasonable attorneys’ fees) (“Claims”) arising out of or in connection with T-Mobile’s use of Your Trademarks, Mobile Application, Marketing Materials or any other materials provided to T-Mobile by You as permitted under this Agreement. T-Mobile will promptly notify You of any Claim against it of which it becomes aware. Failure to provide prompt notice will not relieve You of Your obligation to indemnify, except and solely to the extent that You are actually prejudiced by T-Mobile’s failure to provide prompt notice. Subject to the following sentence, upon receiving notice of a Claim You will assume the defense of the Claim, employ counsel reasonably acceptable to T-Mobile, and contest, pay or settle the Claim as T-Mobile may determine, except that You will not enter into any settlement that adversely affects T-Mobile’s rights or interests without the prior written consent of T-Mobile. Notwithstanding the preceding sentence, T-Mobile is entitled to defend a Claim through counsel of its own choosing without the participation of Company and at Your expense, if: (x) You fail or refuse to defend the Claim on or before the 15th day after T-Mobile has given written notice pursuant to this Section; or (y) representation of You and T-Mobile by the same counsel has the potential to constitute a conflict of interest. At Your expense, T-Mobile will provide reasonable cooperation to You in connection with the defense or settlement of any such Claim. At T-Mobile’s expense, T-Mobile will be entitled to participate in the defense of any such Claim. (b) EXCEPT FOR THE INDEMNITY OBLIGATIONS UNDER SECTION 5(A), UNDER NO CIRCUMSTANCES WILL EITHER PARTY BE LIABLE TO THE OTHER PARTY FOR LOST PROFITS OR FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM THE SUBJECT MATTER OF THIS AGREEMENT, REGARDLESS OF THE TYPE OF CLAIM AND EVEN IF THAT PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, SUCH AS, BUT NOT LIMITED TO, LOSS OF REVENUE, LOST DATA, LOSS OF ANTICIPATED PROFITS, OR LOST BUSINESS. 6. Miscellaneous. (a) Use of T-Mobile Names. You will not issue any publicity or general marketing communications concerning this Agreement, Your relationship with T-Mobile, or any other matter concerning T-Mobile without the prior written consent of T-Mobile. Except as necessary to fulfill its duties under this Agreement, You shall not use T-Mobile's name, trademarks, service marks, trade names, logos, slogans, designs or other T-Mobile identifiers in any medium for any purpose, including, but not limited to, advertising, marketing, promotion, or publicity, without T-Mobile's prior written approval. (b) Assignment. This Agreement will be binding upon, enforceable by, and inure to the benefit of the parties and their respective successors and assigns. (c) Choice of Law; Jurisdiction; Attorneys’ Fees. This Agreement will be governed by, and construed in accordance with, the laws of the State of Washington as applied to contracts performed therein but without reference to its choice of law rules. Each party hereby irrevocably consents to exclusive personal jurisdiction and venue in the state and federal courts located in King County, Washington with respect to any actions, claims, or proceedings arising out of or in connection with this Agreement, and agrees not to commence or prosecute any such action, claim, or proceeding other than in the aforementioned courts. In any dispute concerning or arising under this Agreement or any transaction relating hereto, the prevailing party will be entitled to reasonable attorneys’ fees and costs. (d) Waiver. No waiver of any breach of any provision of this Agreement will constitute a waiver of any prior, concurrent, or subsequent breach of the same or any other provisions hereof, and no waiver will be effective unless made in writing and signed by an authorized representative of the waiving party. (e) Notices. All notices to T-Mobile in connection with this Agreement must be in writing and sent to T-Mobile’s Deputy General Counsel at 12920 SE 38th Street, Bellevue WA 98006 by recognized courier service or the U.S. mail postage prepaid, certified or registered and return receipt requested. In addition to notices provided in accordance with Section 6(g) of this Agreement, T-Mobile may send notices to You via recognized courier service or the U.S. mail postage prepaid, certified or registered and return receipt requested to Your address provided to T-Mobile through the MAPR. (f) Severability. If any provision of this Agreement will for any reason be held to be invalid, illegal or unenforceable in any respect, the remaining provisions will remain in full force and effect. If any provision of this Agreement will, for any reason, be determined by a court of competent jurisdiction to be excessively broad or unreasonable as to scope or subject, such provision will be enforced to the extent necessary to be reasonable under the circumstances and consistent with applicable law while reflecting as closely as possible the intent of the parties as expressed herein. (g) Changes to Agreement. T-Mobile reserves the right to change any of the terms and conditions contained in this Agreement and any electronic forms, requirements, and guidelines that are incorporated by reference into this Agreement, at any time. Notice of changes to this Agreement may be (i) posted on the MAPR or the T-Mobile Partner Network website, and any such changes will be effective 30 days following posting of such notice; or (ii) emailed to You and any such changes will be effective on the date indicated in the email notification. You are responsible for reviewing notices and applicable changes. YOU AGREE THAT THE SUBMISSION OF MOBILE APPLICATIONS FOLLOWING T-MOBILE’S POSTING OR EMAILING CHANGES WILL CONSTITUTE YOUR ACCEPTANCE OF SUCH CHANGES. IF YOU DO NOT AGREE WITH ANY CHANGE, YOU MUST TERMINATE THIS AGREEMENT BY SENDING A NOTICE TO T-MOBILE IN ACCORDANCE WITH SECTION 6(e) WITHIN 30 DAYS FOLLOWING T-MOBILE’S POSTING OR EMAILING THE NOTICE OF THE CHANGE. THE EFFECTIVE DATE OF TERMINATION BY YOU UNDER THIS SECTION WILL BE 30 DAYS FOLLOWING T-MOBILE’S RECEIPT OF YOUR NOTICE OF TERMINATION. (h) Integration. This Agreement (including the forms, requirements, and guidelines) contains the entire understanding of the parties with respect to the transactions and matters contemplated herein, supersedes all prior and contemporaneous agreements or negotiations between You and T-Mobile concerning the Purpose, and cannot be amended except as set forth in Section 6(g) or by a writing dated subsequent to this Agreement and signed by both parties. If any form, requirement, or guideline conflicts with this Agreement, the terms of this Agreement will control. No course of dealing or usage of trade may be invoked to modify the terms and conditions of this Agreement.
